Terms of service

These terms ("Terms") govern your access to and use of the SupplyMatch platform, websites, and related services (the "Service") provided by NX Division ("NX Division", "we", "us"), operating under the trade name SupplyMatch. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Who we are

SupplyMatch is the trade name of NX Division, a business based in Alberta, Canada. The Service is a directory and discovery platform that connects Canadian food-industry buyers with suppliers.

Eligibility

The Service is for business use only. You must be at least 18 years old, capable of forming a binding contract, and acting on behalf of a business or organization. By using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and 'you' refers to both you and that organization.

Your account

You are responsible for the information you provide when creating an account, for keeping it accurate and up to date, and for all activity that occurs under your account. Keep your credentials confidential and notify us immediately through our contact page if you suspect unauthorized access.

What SupplyMatch is — and is not

SupplyMatch is a discovery platform that helps buyers and suppliers find each other. We do not act as a broker, agent, or party to any transaction between users. We do not independently verify all information that suppliers post, including capabilities, certifications, capacity, or compliance with applicable food-safety regulations. You are responsible for your own due diligence before entering into any agreement with another user.

Acceptable use

When using the Service, you agree not to:

  • Violate any applicable law or third-party right.
  • Misrepresent your identity, credentials, certifications, or capabilities.
  • Scrape, crawl, harvest, or otherwise extract data from the Service except through interfaces and at rates we expressly permit.
  • Interfere with, attempt to gain unauthorized access to, or disrupt the Service, our infrastructure, or other users' accounts.
  • Use the Service to send spam, deceptive content, malware, or other abusive material.
  • Resell, sublicense, or commercially exploit the Service or any content made available through it without our written consent.

Your content

You retain ownership of the content you submit to the Service (for example, profile data, listings, RFQs, and messages). You grant NX Division a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify (for formatting and display), translate, transmit, and display your content as needed to operate, provide, and improve the Service. You are responsible for ensuring you have the rights necessary to grant this licence and that your content does not infringe any third-party right or violate applicable law.

Free and paid features

Some features of the Service are free; others may be offered on a paid basis. Where a feature is paid, we will clearly describe the price, billing cycle, and any applicable taxes before you commit to purchase it. Payments for paid features are processed by Stripe, subject to Stripe's own terms. Unless we agree otherwise in writing, fees are non-refundable except as required by applicable law.

Intellectual property

The Service, including its software, design, branding, and original content, is owned by NX Division or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Service for its intended purpose, subject to these Terms. We reserve all rights not expressly granted.

Third-party services

The Service relies on third-party providers — for example, hosting, email, payments, analytics, and error monitoring. These providers are described in our Privacy notice. We are not responsible for the actions, content, or terms of third-party services you choose to use independently of the Service.

Disclaimers

THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE'. TO THE FULLEST EXTENT PERMITTED BY LAW, NX DIVISION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT INFORMATION POSTED BY OTHER USERS IS ACCURATE, CURRENT, OR COMPLETE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NX DIVISION WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED ZERO CANADIAN DOLLARS (CAD $0). WHERE APPLICABLE LAW DOES NOT PERMIT A COMPLETE EXCLUSION OR LIMITATION OF LIABILITY, OUR LIABILITY IS LIMITED TO THE MINIMUM AMOUNT REQUIRED BY LAW.

Indemnification

You agree to defend, indemnify, and hold NX Division and its representatives harmless from any third-party claim, loss, liability, damage, or expense (including reasonable legal fees) arising out of or related to: (a) your use of the Service, (b) your content, (c) your violation of these Terms or applicable law, or (d) your violation of any third-party right.

Suspension and termination

You may stop using the Service at any time and request that we close your account by reaching out through our contact page. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, posed a risk to the Service or other users, or as required by law. Sections of these Terms that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution — will survive.

Governing law and venue

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-laws rules. You and NX Division agree that the courts of the Province of Alberta have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, and you consent to that jurisdiction.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the 'Last updated' date above. If the changes are material, we will provide additional notice (for example, by email or an in-platform notice) before they take effect. Your continued use of the Service after the effective date of an update means you accept the updated Terms.

Miscellaneous

These Terms, together with our Privacy notice and any other terms expressly referenced, are the entire agreement between you and NX Division regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our written consent; we may assign them without restriction.
